1. Definitions

• “ZyvoBill”, “we”, “our”, or “us” refers to ZyvoBill and its operators.
• “User”, “you”, or “your” refers to any individual or business using the Services.
• “Services” refers to the invoicing, billing, payment tracking, and customer management tools provided through the ZyvoBill platform.

2. Eligibility

By using ZyvoBill, you represent that you have the legal capacity and authority to enter into these Terms and use the Services in compliance with applicable laws.

If you are using the Services on behalf of a business, organization, or entity, you confirm that you are authorized to accept these Terms on its behalf.

3. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, complete, and current information.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activities conducted through your account.

You must notify us immediately of any unauthorized use or security breach related to your account.

We reserve the right to suspend or terminate accounts containing false, misleading, or incomplete information.

4. Use of Services

ZyvoBill provides digital invoicing, billing, payment tracking, and customer management tools for businesses and professionals.

You agree not to use the Services:

• For any unlawful, fraudulent, or unauthorized purpose.
• To transmit spam, malware, or harmful content.
• To interfere with or disrupt the integrity or performance of the platform.
• To copy, resell, reverse engineer, or misuse the Services or software.

We reserve the right to suspend or terminate access if any misuse or violation of these Terms is detected.

5. Trial Period

ZyvoBill may offer a free trial period to allow users to explore and evaluate the platform without charges.

At the end of the trial period, continued access to premium features may require the purchase of a paid subscription plan.

We reserve the right to modify, limit, or discontinue the trial offer at any time without prior notice.

6. Subscription Plans, Billing, and Payments

ZyvoBill offers free and paid subscription plans with different features and usage limits.

By subscribing to a paid plan, you agree to:

• Pay all applicable subscription fees, taxes, and charges.
• Provide valid and updated payment information.
• Authorize recurring billing where applicable.

Subscription fees are billed in advance and are non-transferable.

Failure to make payment may result in suspension or restriction of access to premium features and Services.

7. Refund Policy

Users are encouraged to utilize the free trial period to evaluate the Services before purchasing a subscription.

Once a subscription payment has been successfully processed, all payments are final and non-refundable, including in cases of:

• Partial usage of the subscription period,
• Change of mind,
• Failure to use the Services,
• Business closure or discontinuation,
• Feature expectations not explicitly promised by ZyvoBill.

No refunds or credits will be provided for unused subscription periods unless otherwise required under applicable law.

8. Intellectual Property Rights

All software, content, trademarks, branding, logos, designs, text, graphics, and technology associated with ZyvoBill are the exclusive property of ZyvoBill or its licensors and are protected under applicable intellectual property laws.

Subject to these Terms, ZyvoBill grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes.

You may not reproduce, distribute, modify, or create derivative works from any part of the Services without prior written permission.

9. Data and Privacy

Your use of the Services is also governed by our Privacy Policy.

You retain ownership of the invoices, customer records, and business data you upload to ZyvoBill. However, you grant us a limited right to process and store such data solely for the purpose of providing the Services.

We implement reasonable security measures but do not guarantee that the Services will be completely secure or error-free.

10. Service Availability

We strive to maintain uninterrupted access to the Services but do not guarantee continuous availability.

ZyvoBill may temporarily suspend access for maintenance, updates, security reasons, or technical issues without prior notice.

We are not liable for any losses caused by downtime, delays, or interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, ZyvoBill shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill arising from:

• Use or inability to use the Services,
• Errors or interruptions,
• Unauthorized access to data,
• Third-party actions or integrations.

Our total liability under these Terms shall not exceed the amount paid by you to ZyvoBill in the preceding three (3) months.

12. Termination

We may suspend or terminate your access to the Services at any time if:

• You violate these Terms,
• Your use creates legal or security risks,
• Required by law or regulatory authorities.

You may discontinue use of the Services at any time. Termination does not relieve you of any payment obligations already incurred.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time.

Any material changes will be communicated through the application, website, or registered email address. Continued use of the Services after such updates constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.
